I'd drop the Av Con National guard from the 2nd div and use the bases to make the 2 National Guard unis in the 1st div both large. Conscripts are hard to recover cohesion so making them large reduces hits on them. It will also make the 2nd div easier to manage.

The poor/conscripts need to be kept as far away as possible. Defending the loc is a good job for them.

Forget the guards...too expensive for too little.

-maximize the light infantry...ave drilled is good...
-maximize the ave drilled line infantry + skirmishers (2 per division is nice!) + arty + officers
-make the conscripts all poor and keep them in behind for support...at 20pts a 4pak, that is very cheap rear support and lets you spend the points on the stuff up front

I count 5 line 4paks + naval marines = 6 small units (2 of which can be veteran) and 2 lights (again, 1 veteran). That is a nice chunk of infantry for 2 divisions. I've found that when I only have 2 small units up front in a division, they come up against large units and are devastated. You need the 3rd one in line with them, so that you have 3 small units facing 2 large, and you will force the opponent to split his fire.

I don't think I'd be too hung up on 800 points. We've found here that 1000 works much better and begins to plump up the battle.
